Terms of Service

1. Overview

Shipyu provides a shipment tracking API for developers: you create trackers for carrier tracking numbers, and Shipyu returns normalized shipment status and delivers signed webhook events as that status changes. These Terms govern your access to and use of the Shipyu API, the developer console, and related services (together, the "Service"), provided by Shipyu Inc. ("Shipyu", "we", "us").

By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.

2. The Service

  • Tracker creation and retrieval across supported carriers, with normalized statuses and tracking events
  • Webhook delivery of tracking events, signed with a shared secret and retried on failure
  • Request logs, usage reporting, and operational tooling in the developer console
  • A test mode that returns simulated data at no charge

We may add, change, or retire features. Where a change materially reduces the documented API surface you rely on, we will use reasonable efforts to give advance notice via the changelog or email.

3. Accounts and API keys

  • You must provide accurate account information and keep it current.
  • API keys identify your organization. You are responsible for keeping keys confidential, for all activity under them, and for rotating or revoking keys you believe are compromised.
  • Organization owners control member roles; actions taken by members within your organization are your responsibility.

4. Test and live modes

Test-mode keys return simulated tracking data and are free. Live-mode usage requires a valid payment method. Live trackers poll real carrier systems and are billable as described in Section 5.

5. Fees and billing

  • Live usage is metered per tracker created, at the graduated rates published on the pricing page, unless a separate written agreement sets different rates.
  • Usage is measured by Shipyu's systems, accrues over a calendar month (UTC), and is invoiced monthly through our payment processor.
  • Undisputed invoices are due on receipt. We may suspend live access for accounts with failed payments after reasonable notice; test mode remains available.
  • Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on our income.
  • Configurable spend alerts are provided as a convenience and do not cap or limit accrued usage.

6. Acceptable use

You will not:

  • Use the Service to violate law, third-party rights, or carrier terms
  • Attempt to probe, disrupt, or overload the Service, or circumvent rate limits, metering, authentication, or access controls
  • Track shipments you have no legitimate connection to, or use the Service to harass or surveil individuals
  • Resell raw Service output as a competing tracking API without a written agreement

7. Rate limits and fair use

Documented rate limits apply per key and per organization. We may throttle or temporarily suspend traffic that degrades the Service for others, and will communicate with you when we do.

8. Your data

  • You retain all rights to data you submit (tracking numbers, webhook endpoints, metadata). You grant us the rights needed to operate the Service — including passing tracking numbers to carrier data providers and storing request logs.
  • Request and response bodies are stored for operational debugging with sensitive credentials redacted, and are deleted after 90 days, as described in the Privacy Policy.
  • You are responsible for having a lawful basis to submit any personal data (for example recipient details embedded in webhook payloads you request).

9. Service dependencies

Tracking data originates from carriers and third-party data providers. We normalize and deliver it, but we do not control carrier systems and cannot guarantee the accuracy, completeness, or timeliness of carrier-originated data.

10. Suspension and termination

  • You may stop using the Service and close your account at any time; accrued fees remain payable.
  • We may suspend or terminate access for material breach of these Terms, non-payment, security risk, or legal requirement. Where practical we will notify you and give you an opportunity to cure.
  • After termination we delete or de-identify your data per the retention schedule in the Privacy Policy, subject to legal holds.

11. Intellectual property

Shipyu owns the Service, including the API design, normalized data model, documentation, and console. You may use our name and logo solely to state truthfully that your product uses Shipyu.

12. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

13. Limitation of liability

To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages; and Shipyu's aggregate liability arising out of the Service is limited to the fees you paid to Shipyu in the twelve months before the event giving rise to the claim.

14. Indemnification

You will defend and indemnify Shipyu against third-party claims arising from your data, your applications, or your breach of these Terms.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Shipyu Inc. is organized, without regard to conflicts of law rules. Exclusive venue lies in the courts of that jurisdiction.

16. Enterprise agreements

If you have a signed agreement with Shipyu (for example an enterprise or volume agreement), that agreement controls to the extent it conflicts with these Terms.

17. Changes to these Terms

We may update these Terms. Material changes will be announced via the changelog or email at least 14 days before they take effect; continued use after the effective date is acceptance.
